1. Agreement
These Terms and Conditions ("Terms") govern your access to and use of the ClientPulse website, applications, and related services ("Service") operated by ClientPulse Ltd ("ClientPulse", "we", "us"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
4. Subscriptions and billing
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor. Subscriptions renew automatically until canceled. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Send spam, unsolicited communications, or violate any anti-spam, telemarketing, or messaging laws (including TCPA, CAN-SPAM, GDPR, and CASL).
- Upload content that infringes intellectual property, privacy, or other rights.
- Attempt to reverse engineer, disrupt, or gain unauthorized access to the Service.
- Resell or sublicense the Service without our written consent.
6. Your data and content
You retain ownership of the content and data you submit to the Service ("Customer Data"). You grant ClientPulse a limited license to host, process, and transmit Customer Data solely to provide the Service. You are responsible for obtaining all consents required to contact your clients via email, SMS, or voice through the Service.
7. Communications and messaging
When using SMS, email, or voice features, you are the sender of record and are responsible for compliance with applicable messaging laws and carrier rules. See our SMS Policy for details on mobile information handling.
8. Intellectual property
The Service, including its software, design, and branding, is owned by ClientPulse and protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
9. Third-party services
The Service integrates with third-party providers (such as payment processors, email and SMS providers, and calendar services). Your use of those services is subject to their own terms. We are not responsible for third-party services.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the maximum extent permitted by law, ClientPulse will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold ClientPulse harmless from any claims, damages, or expenses arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will do so.
14. Changes to terms
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in England and Wales.
